End User License Agreement

This End User License Agreement ("Agreement") is a binding legal agreement between you ("you" or "Licensee") and Bayes GmbH ("Bayes", "we", "us" or "Licensor"), the developer and publisher of the PitchGrid audio plugin software, in respect of that software and any accompanying documentation, updates and components (together, the "Software").

This Agreement is a software licence. It is not the contract of sale for a paid copy. Bayes licenses the Software to you. If you buy a paid licence through Moonbase, the seller of that purchase is Moonbase AS or the Moonbase entity named at checkout and on your receipt. Moonbase is not a party to this Agreement and does not license the Software to you.

By downloading, installing, activating, or using the Software — including any free trial version — you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. Definitions

  • Software — the PitchGrid plugin in all its formats (including VST3, Audio Unit, and standalone application), for all supported operating systems, together with its documentation, presets, updates, and upgrades.
  • License Key — the license credential, activation token, or account-based entitlement issued to you that authorises use of the Software.
  • Activation — the process by which a copy of the Software is associated with a device and validated against our licensing service.
  • Trial Version — a time-limited version of the Software provided free of charge for evaluation.
  • Store Seller — for a paid licence bought through Moonbase, Moonbase AS (a Norwegian limited liability company, org.nr. 931 730 258, Utsikten 6, 3718 Skien, Norway) or the Moonbase affiliate identified as seller at checkout and on your receipt or invoice (which may be Moonbase LLC). For a paid licence bought directly from Bayes, the Store Seller is Bayes.

2. Grant of License

Subject to your compliance with this Agreement and, for paid licenses, payment of the applicable fee to the Store Seller, Bayes grants you a non-exclusive, non-transferable, revocable license to install and use the Software for your own personal or internal business music-production purposes.

A single license permits you to install and activate the Software on a reasonable number of devices that you own or control, provided the Software is used by you and not by multiple people simultaneously. The number of concurrent activations permitted under a license is determined by our licensing service and may be displayed at the point of sale or in your account.

Moonbase's role, where you buy through Moonbase, is as reseller / merchant of record for that purchase. It does not grant, and is not asked to grant, any licence under this Agreement.

3. Trial Version

We may make a Trial Version available so you can evaluate the Software before purchase. The Trial Version is licensed to you by Bayes, free of charge, for the trial period stated at the time of download (currently fourteen (14) days). There is no Store Seller and no purchase contract for the Trial Version. The Trial Version may limit functionality or cease to operate when the trial period ends. All terms of this Agreement apply to the Trial Version, except those relating to payment and refunds.

4. License Activation and Validation

The Software uses an activation and license-validation mechanism. To activate and periodically re-validate your license, the Software may connect to our licensing service or that of our licensing provider and transmit limited technical information, including a device fingerprint, operating system, and Software version. This information is used solely to manage your license and prevent unauthorised use. See our Privacy Policy for details on how this data is handled. Offline activation is available where supported.

5. Restrictions

You may not, and may not permit any third party to:

a. copy, distribute, sell, rent, lease, sublicense, lend, or otherwise transfer the Software or your License Key, except as expressly permitted in writing by us;

b. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent this restriction is expressly prohibited by applicable law;

c. modify, adapt, translate, or create derivative works based on the Software;

d. remove, alter, or obscure any proprietary notices, labels, or marks on or in the Software;

e. circumvent, disable, or interfere with the license activation, validation, or any other security or protection features of the Software; or

f. use the Software in any way that infringes the intellectual property or other rights of Bayes or any third party.

6. Ownership and Intellectual Property

The Software is licensed, not sold. Bayes and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights. "PitchGrid" and the PitchGrid logo are trademarks of their respective owner and may not be used without permission. No rights are granted to you other than those expressly set out in this Agreement.

7. Third-Party and Open-Source Components

The Software may include third-party or open-source software components, which are licensed to you under their own license terms. Where such terms require, the relevant notices and licenses are made available with the Software or its documentation. Nothing in this Agreement limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license.

8. Updates and Support

We may, but are not obliged to, provide updates, upgrades, bug fixes, or support for the Software. Any updates we provide are subject to this Agreement unless accompanied by separate terms. We may change, suspend, or discontinue any aspect of the Software, including the licensing service, at any time, subject to applicable law.

9. Purchase, Payment, Refunds, and Right of Withdrawal

Paid licences are sold by the Store Seller, not by Bayes. Bayes is the licensor only. Moonbase is not a party to this licence.

If you buy through Moonbase (pitchgrid.moonbase.sh or another Moonbase checkout we designate), the Store Seller is Moonbase AS or the Moonbase entity named at checkout and on your receipt. Price, payment, invoice, taxes, chargebacks, statutory withdrawal (Widerruf), and refunds follow the Moonbase terms for buyers and applicable law. Direct those requests to the Store Seller. Do not use info@bayes.de as a refund or withdrawal address for a Moonbase purchase.

The Trial Version is licensed by Bayes free of charge (Section 3). It is not a purchase.

If you buy a paid licence from Bayes other than through Moonbase, payment and any refund or withdrawal for that sale are with Bayes, as stated at that sale.

10. Term and Termination

This Agreement is effective until terminated. It terminates automatically, without notice, if you breach any of its terms. Upon termination you must cease all use of the Software and remove all copies from your devices. Bayes or the Store Seller may revoke a license that was issued in error, obtained fraudulently, or charged back. Sections 5, 6, 9, 11, 12, 13, and 15–16 survive termination.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or compatible with your hardware or other software. Nothing in this Agreement excludes warranties or rights that cannot be excluded under applicable mandatory consumer-protection law.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

a. Bayes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Software or this Agreement; and

b. Bayes's total aggregate liability under this Agreement shall not exceed the amount you actually paid for the license giving rise to the claim.

Nothing in this Agreement excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law. Where liability cannot be excluded but can be limited, our liability is limited to the extent permitted by law. This particularly applies to mandatory liability under the German Product Liability Act (Produkthaftungsgesetz) and for damages resulting from injury to life, body, or health.

This Section 12 is Bayes's liability as licensor. It does not govern the Store Seller's liability under the purchase contract.

13. Privacy

Our handling of personal data is described in our Privacy Policy, available on our website. By using the Software you acknowledge that we and our licensing provider process the limited technical and account data described in Section 4 for the purposes of license management. Payment data for Moonbase purchases is processed by the Store Seller under the Store Seller's privacy terms, not by this Agreement.

14. Export Compliance

You agree to comply with all applicable export and sanctions laws and regulations, and you represent that you are not located in, and will not use the Software in, any jurisdiction subject to applicable embargoes that would prohibit your use of the Software.

15. Governing Law and Jurisdiction

This Agreement (the licence) is governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Where you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence. The place of jurisdiction for disputes with merchants (Kaufleute) arising out of this licence is the registered seat of Bayes, to the extent permitted by law.

The purchase contract with a Moonbase Store Seller is governed by that Store Seller's terms, not by this Section 15.

16. General and Contact

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right. This Agreement constitutes the entire agreement between you and Bayes regarding the licence of the Software and supersedes any prior licence terms. It does not supersede the Store Seller's purchase terms.

We may update this Agreement from time to time; the version in force at the time you acquire or update the Software applies, and the current version is always available at https://pitchgrid.io/plugin-eula.

This Agreement is available in English. In case of translations, the English version prevails to the extent permitted by law.
